Talanx AG and Meiji Yasuda Life Insurance have announced that they will conclude their strategic partnership by December 31, 2025, activating the termination clause in their original cooperation agreement.
As part of the arrangement, Talanx will acquire Meiji Yasuda’s shares in two Polish subsidiaries: a 24.3% stake in Towarzystwo Ubezpieczeń i Reasekuracji Warta S.A. (Warta) and a 50% minus one share stake in Towarzystwo Ubezpieczeń Europa S.A. (TU Europa).
The transaction is expected to close in early 2026, contingent on regulatory approvals. Talanx projects that the additional shares will contribute a significant mid-double-digit million-euro amount to its group results after minority interests are accounted for.
The purchase, valued in the mid-triple-digit million-euro range, will enable Talanx to fully consolidate the earnings and dividends from both Warta and TU Europa, strengthening its earnings per share and return on equity.
